Our health care clients include:
- Health care institutions. - Long Term Solutions, Inc.
Nutter advised Long Term Solutions, Inc. (LTS), a provider of in-home nursing assessments for the long-term care insurance industry, in its sale to Almost Family, Inc. (NASDAQ: AFAM). Based in Natick, MA, LTS provides a suite of planning and support services to insurance companies, employers, and direct to individuals and families throughout the United States.
- Represented pathology laboratory in qui tam case
Nutter represented a pathology laboratory in a qui tam case alleging fraudulent billing practices, and reached very favorable settlement with the U.S. Attorney's Office.
- The Brigham and Women's Hospital, Inc.
Nutter represented The Brigham and Women's Hospital, Inc. (BWH) in the completion of the zoning and land use permitting required to enable the redevelopment of a portion of the 2.61 acre former Massachusetts Mental Health Center (MMHC) site as a 383,250 square foot state-of-the-art research and clinical facility known as BWH's “Center for Transformative Medicine” (“CTM”), formerly known as the Brigham’s "Building for the Future". Nutter assisted in the modification of the existing approvals for CTM for an additional story and increase in size of 24,580 square feet to be added mid-construction to assist BWH in responding to changing hospital needs. The construction of CTM has now been completed and is fully occupied. Nutter continues to assist the client in ongoing permit modifications and permit compliance issues related to this and other properties within the Longwood Medical Area.
- Connected Home Care, LLC
Nutter served as legal counsel to Connected Home Care, LLC, a leading home care provider serving Medicaid, dual-eligible, and private pay clients throughout Eastern Massachusetts, in connection with its acquisition by HouseWorks, LLC, one of the nation’s largest independent home care companies.
- Ce3, Inc.
Nutter served as legal counsel to Ce3, Inc., a full-service CRO focused on providing early phase oncology clinical development services to the biotechnology industry, in connection with its acquisition by Catalyst Clinical Research, a clinical development organization providing highly customizable clinical research solutions to the global biopharmaceutical industry.
- Column Health
Nutter served as legal counsel to Column Health, a network of technology-enabled, community-based outpatient mental health and addiction clinics throughout Massachusetts and Connecticut, in connection with its acquisition of the Center for Psychiatric Medicine (CPM).
- UrSure, Inc.
Nutter served as legal counsel to UrSure, Inc., an HIV medication adherence diagnostics company, in connection with its acquisition by OraSure Technologies, Inc. (NASDAQ: OSUR), a leader in point of care diagnostic tests and specimen collection and stabilization devices, and microbiome laboratory and analytical services.
- Innovation Associates
Nutter served as legal counsel to Innovation Associates, the market-leading provider of high-volume pharmacy automation technology and software solutions to the retail, hospital, government, and mail order pharmacy markets, in connection with a consortium of investors led by Greg Wasson, the former Walgreens Boots Alliance CEO, acquiring a majority stake to scale the business and enhance its pharmacy automation offerings.
- Health insurance plan
Nutter represented a health insurance plan in a qui tam lawsuit alleging billing improprieties, and prevailed at motion to dismiss stage.
- Senior management
Nutter represented certain senior management in connection with the sale of ZappRx to Allscripts.
- AppwoRx LLC
Nutter served as legal counsel to AppwoRx LLC, a Boston-based medical technology manufacturer, in connection with its acquisition by PatientNOW, a private equity-backed computer software company headquartered in Englewood, CO.
- Baril Corporation
Nutter served as legal counsel to Baril Corporation, a leading medical specialty manufacturer of infection prevention, wound care, clinical chemistry, patient monitoring, and medical and surgical consumable products, in its acquisition by TEAM Technologies, Inc., a leading North American healthcare specialty manufacturer focused on oral and dental care and medical end markets.
- Column Health, LLC
Nutter served as legal counsel to Column Health, LLC in connection with its sale to Shore Capital Partners, a Boston-based private equity firm specializing in middle-market health care and food and beverage acquisitions.
- Cúram
Nutter served as legal counsel to Cúram, a business intelligence service provider in the health care industry, in connection with its acquisition of PMC Medical Group, a multispecialty health care organization based in New Hampshire.
- iResearch
Nutter served as legal counsel to iResearch, a leading multi-specialty clinical research center with locations in Decatur, GA and Savannah, GA, in connection with its acquisition by CenExel.
- OpenClinica
Nutter served as legal counsel to OpenClinica, an industry-leading clinical research solutions provider based in Waltham, MA, in connection with a strategic investment with Thompson Street Capital Partners.
- T.F. Boyle Transportation, Inc.
Nutter served as legal counsel to T.F. Boyle Transportation, Inc. in its acquisition by Toronto-based Andlauer Healthcare Group Inc. (TSX: AND).
- Tufts Health Plan
Nutter served as legal counsel to Tufts Health Plan in connection with its combination with Harvard Pilgrim Health Care. The newly combined nonprofit organization will become one of the region’s largest health services organizations, providing high-quality health coverage in every segment of the market.
- Veristat, LLC
Nutter served as legal counsel to Veristat, LLC, a scientifically minded global clinical research organization (CRO), in its acquisition by WindRose Health Investors, LLC, a New York City-based health care private equity firm.
