Nutter Expands Corporate and Transactions Department With Team of Three Partners, One Of Counsel

Nutter announced that the entire team of BRL Law Group LLC, a Boston-based corporate boutique law firm started in 2002, has joined the firm. Tom Rosedale, Suzanne Hamel, and Mark Burgiel, partners in Nutter’s Corporate and Transactions Department, focus their practices on a wide range of corporate and securities matters, including mergers and acquisitions, private and venture capital transactions, representation of publicly traded companies, and general corporate matters.

In addition to the three partners, Kate MacGregor joined the firm as of counsel and Malissa Daniels as a paralegal, further bolstering Nutter’s capabilities in corporate and securities law. The group has extensive experience representing companies in a wide variety of industries, including life sciences; biotechnology; medical devices and diagnostics; telemedicine; technology; Internet and e-commerce; and food and beverage.

Tom Rosedale, Partner
Rosedale primarily advises clients on public and private company securities law matters, mergers and acquisitions, venture capital financings, and general corporate matters. Prior to joining Nutter, Rosedale founded and served as the managing member of BRL Law Group. Before that, he served as Associate General Counsel of CMGI, Inc. and Vice President and General Counsel of AltaVista Company. He also served as an Associate at two national law firms. Rosedale serves on the board of directors of Caring Cross Inc., Newfound Research, Top Shelf Dog, Red Systems (dba Delegated.com), AMD Global Telemedicine, and on the board of advisors of Newton Wellesley Hospital. In addition to founding BRL Law Group, Rosedale founded and co-founded several businesses, including Newfound Research, Corporate Filing Solutions, PackageFox, and Top Shelf Dog. He earned his J.D. from Boston University School of Law and his B.S., magna cum laude, from Bryant University.

Suzanne Hamel, Partner
Hamel focuses her practice on private equity, venture capital, emerging company representation, mergers and acquisitions, and general corporate law. Public and private companies, private equity firms, emerging companies, and individual investors frequently engage Hamel for legal advice on corporate and securities law matters. She has extensive experience in day-to-day corporate counseling, investments, mergers, acquisitions, sale of assets, private placements, employment, non-competition, consulting, and nondisclosure and assignment of invention agreements. Hamel earned her J.D. from George Washington University School of Law and her B.S., magna cum laude, from Lesley College.

Mark Burgiel, Partner
Burgiel advises clients on the formation and capital financing of emerging companies, as well as mergers and acquisitions, debt financings, and general commercial law matters. He represents emerging companies through all stages of its lifecycle, including formation, venture capital financing, and mergers and acquisitions. Burgiel has extensive knowledge acting as outside general counsel on day-to-day operational matters for clients in several industries, including software, biotechnology, food services, and sports. He earned his J.D. from Boston University School of Law and his B.A. from Emory University.

Kate MacGregor, Of Counsel
MacGregor focuses her practice in the areas of general corporate and securities law, including mergers and acquisitions, debt and equity financings, corporate governance, public company representation, executive and employee compensation matters, and general business and corporate planning for various business entities. She advises public and private companies in a wide range of industries, including technology and other emerging growth areas. MacGregor regularly counsels private equity funds and venture capital firms on investments and buy-out transactions. She earned her J.D. from Cornell Law School and her B.A. from Dartmouth College.
