Private Equity

With sophisticated capabilities spanning the full spectrum of private equity law, venture capital law, and corporate law, our broad industry-based legal experience guides clients through all stages of the private equity life cycle, from fundraising to exit. We work closely with private equity sponsors seeking to optimize their next investment, in addition to middle market companies exploring outside capital for growth or succession planning. Our strategic advice, together with our business acumen, helps clients determine which pathway will help them achieve their goals.

Our Practice
Individual entrepreneurs and owners, investors, partnerships, joint ventures and corporations, as well as the private equity firms with whom they are engaged, rely on our counsel to facilitate the growth of equity value. We provide timely, pragmatic, and commercial guidance to private equity firms looking to capitalize on market opportunities, strategic buyers seeking to expand their presence, and mid-sized businesses looking for experienced counsel to guide them through the complexities of a transaction.

We handle the full range of transactions related to or flowing from private equity investments, such as acquisitions, asset sales, stock purchases, leverage buyouts, roll-ups consolidating acquisitions within one industry, going private transactions, exchanges of securities, and Private Investment Public Equity deals (“PIPEs”) involving, among other things, private placements with subsequent registration rights.

Our attorneys are involved in the entire deal process: planning tax efficient and strategic structures, managing diligence efficiently, and negotiating complex transaction documents, all while bringing generations of experience to best serve our clients' interests.
