Nutter served as legal counsel to Copley Equity Partners, a Boston-based private investment firm, in connection with Gregory FCA’s acquisition of Affect, a B2B-focused firm serving technology, health care, and professional services clients. Gregory FCA, one of the nation’s 50 largest public relations firms, is a Copley portfolio company. The Nutter deal team was led by Jonathan Calla, a partner in the Corporate and Transactions Department, and included Shannon Zollo, a partner in Nutter’s Corporate and Transactions Department and chair of the firm’s Mergers and Acquisitions and Private Equity practice groups, and Kelly Dutremble in the Corporate and Transactions Department.

With the acquisition of Affect, Gregory FCA has established a New York City presence and will have approximately 100 employees nationwide. Founded in 1990, Gregory FCA is a full-service public relations and financial public relations firm which creates and deploys sophisticated national media relations, social media, content marketing, investor relations, and financial communications campaigns with a focus on financial services, cybersecurity, consumer and enterprise technology, and consumer products. Nutter previously advised Copley Equity Partners in its growth investment in Gregory FCA.

Copley Equity Partners is a private investment firm with offices in Boston and Denver. Copley partners with established lower middle-market businesses with significant growth prospects. The firm makes investments into private companies operating across a broad range of sectors. Copley invests out of an evergreen, single-family office, capital base and is comfortable in both majority and minority ownership positions. Copley’s patient and flexible capital base allows the firm to maintain a limited portfolio of companies and provide each portfolio company with significant support post-investment.

Nutter’s Corporate and Transactions Department represents domestic and international corporations, publicly traded and privately-held companies, private equity firms, nonprofit institutions, and family-owned businesses in a wide variety of domestic and cross-border transactions. The firm’s attorneys advise on significant transactions in every major industry sector, including manufacturing, high technology, life sciences, banking, professional services, real estate, energy, medical devices, and health care. Nutter’s corporate law practice handles the full range of M&A and private equity transactions, including representing buyers and sellers in auctions and bid processes, mergers, asset sales, stock purchases, leveraged buyouts, roll-ups, joint ventures, PIPEs, going private transactions, exchanges of securities, friendly and hostile tender offers, proxy contests, and acquisitions.
