Overview

Elizabeth S. Myers is an associate in Nutter’s Corporate and Transactions Department. Corporations, limited liability companies, partnerships, and entrepreneurs turn to Ellie for legal counsel on a wide range of emerging and regulated business issues.

Ellie represents major lending institutions and companies in complex, multi-party financings, agented credit facilities, and capital formation transactions. This area of her practice has a significant emphasis on low-income housing tax credit and mortgage warehouse and investor bridge lines, asset-based/commercial lending, venture capital, and leveraged loans.

Notable Experience and Client Impact

  • Representation of Shawmut Corporation, a developer of high-performance composites, in its joint venture with the automotive headliner and specialty industrial fabrics business of Glen Raven Technical Fabrics LLC, a global provider of innovative technical fabric solutions.
  • Representation of among the largest banks in the United States in a dozen relationships providing agency mortgage, low income housing tax credit (LIHTC) and investor bridge warehouse facilities. 
  • Representation of large financial institutions and regional banks in investor bridge warehouse facilities.

Ellie has extensive experience drafting licensing, consulting, employment, shareholder, asset purchase, and non-compete agreements for corporate clients. She regularly advises emerging companies on all aspects of entity formation, transactional work, and corporate governance. Ellie assists clients with trademark assignments, shareholder disputes, and dissolution procedures. In addition, she has represented individuals, businesses, and insurance companies in contract, employment, commercial lease, products liability, and premises liability disputes.

Prior to joining Nutter, Ellie was an associate at a law firm based in the Northeast. Previously, she was a law clerk at Liberty Mutual Insurance Company and a judicial intern for the Hon. Mary Dacey White. Ellie also taught constitutional law to high school students in the Boston public schools as a teaching fellow through the Marshall Brennan Constitutional Literacy Project.

During law school, Ellie served as Executive Editor of the Suffolk University Law Review and was a member of the Phi Delta Phi International Legal Honors Society.
