Overview

Elizabeth S. Myers is an associate in Nutter’s Corporate and Transactions Department. Clients turn to Ellie for legal counsel on a wide range of matters, including mergers and acquisitions, venture capital and private equity financings, commercial lending transactions, and general corporate governance.

As a member of the Emerging Companies practice group, Ellie represents early-stage companies in all stages of their business life cycle in a variety of industries including food and beverage, life sciences, and information and technology services. She regularly advises clients on initial planning and formation, securing financing from third parties, and realizing business goals. Ellie also represents venture capital, private equity, and angel investors in connection with their investments in operating companies.

In addition, Ellie represents major lending institutions and companies in complex, multi-party financings, agented credit facilities, and capital formation transactions. This area of her practice has a significant emphasis on low-income housing tax credit and mortgage warehouse and investor bridge lines, asset-based/commercial lending, venture capital, and leveraged loans.

  • Represented T.F. Boyle Transportation, Inc. in its acquisition by Toronto-based Andlauer Healthcare Group Inc. (TSX: AND)

Prior to joining Nutter, Ellie was an associate at a law firm based in the Northeast. 

During law school, Ellie served as Executive Editor of the Suffolk University Law Review and was a member of the Phi Delta Phi International Legal Honors Society.

    Nutter served as legal counsel to Column Health, a network of technology-enabled, community-based outpatient mental health and addiction clinics throughout Massachusetts and Connecticut, in connection with its acquisition of the Center for Psychiatric Medicine (CPM).

  • Clean Crop Technologies, Inc.

    Nutter served as legal counsel to Clean Crop Technologies, Inc. in connection with its $3 million seed stage investment round.

    Nutter advised Cali’flour Foods, the developer and manufacturer of low-carb, gluten-free cauliflower products, in a Series A financing round led by Sunrise Strategic Partners, with participation from CircleUp Growth Partners.

  • Bjorkman Industrial Power Corporation

    Nutter represented the stockholders of Bjorkman Industrial Power Corp., a supplier of batteries and chargers in the power industry, in the sale of stock to MHS Gamma, Inc.

  • DTM Packaging and Custom Automation

    Nutter served as legal advisor to DTM Packaging and Custom Automation, a leader in machinery manufacturing and re-manufacturing, in its acquisition by The Massman Companies, a Minnesota-based team of machinery and technology companies.

  • Sandler O’Neill & Partners, L.P. and U.S. Bancorp Investments, Inc.

    Nutter represented Sandler O’Neill & Partners, L.P. and U.S. Bancorp Investments, Inc., the placement agents for Independent Bank Corp. (NASDAQ: INDB), the bank holding company of Rockland Trust Company, in connection with Independent’s private placement of $50 million of fixed-to-floating rate subordinated notes due 2029.

    Nutter is serving as legal counsel to Eastern Bankshares, Inc. (NASDAQ Global Select Market: EBC), the stock holding company for Eastern Bank, in connection with its definitive merger agreement with Cambridge Bancorp (NASDAQ: CATC), the parent company of Cambridge Trust Company, pursuant to which Cambridge will merge with and into Eastern in an all-stock transaction valued at approximately $528 million. Simultaneously, Nutter is also representing Eastern Insurance Group, LLC, a wholly owned subsidiary of Eastern, in its definitive agreement to sell its insurance operations to Arthur J. Gallagher & Co. (NYSE: AJG) for approximately $510 million in cash.

    Nutter served as legal counsel to OpenClinica, an industry-leading clinical research solutions provider based in Waltham, MA, in connection with a strategic investment with Thompson Street Capital Partners.
