| Press Release

Nutter served as legal counsel to Wandering Bear, Inc., a cold brew coffee maker, in connection with its $5 million funding round backed by existing investors. Will Bernat, co-chair of the firm’s Emerging Companies Group and co-lead of the firm’s Food and Beverage group, led the Nutter deal team, which included Jeremy Halpern, Meghan Kelly, and Ellie Myers.

The funding will primarily be directed to supporting Wandering Bear’s growth online as it scales its e-commerce business, as well as supporting its return to the office channel with kegs and bag-in-box cold brew. In addition, the company will hire several strategic positions, including in finance, supply chain, and marketing.

Founded in 2014, Wandering Bear offers delicious, highly-caffeinated coffee delivered at home and at work. Based in New York, the company sells its cold brew in single-serve boxes, multi-service bag-in-box taps, and 5-gallon kegs. Through its growth, the company has stayed true to its promise of “organic, extra strong coffee, simply packaged, with personality.”

Nutter has a longstanding relationship with Wandering Bear, having represented the company in an $8 million Series A equity round of financing in 2018 and in connection with a $1 million revolving line of credit facility in 2020.

Nutter’s Food and Beverage group represents clients at every stage of growth, including brands, brand executives, retailers, enabling technology companies, angel investors, venture investors, private equity investors, and strategic investors. With a deep understanding of this marketplace, Nutter’s Food and Beverage group is an interdisciplinary team of lawyers with expertise in a wide variety of areas, including corporate organization and structuring; tax planning; angel, venture, and private equity financing; asset based, venture, and traditional lending; vendor, co-packing, and manufacturing arrangements; global distribution and licensing; warehousing and fulfillment; joint ventures; advertising and product placement; and more.
