Nutter Is Representing T.F. Boyle Transportation, Inc. in Its Pending $80 Million Acquisition by Andlauer Healthcare Group Inc. (TSX: AND)

Nutter is serving as legal counsel to T.F. Boyle Transportation, Inc. in its pending acquisition by Toronto-based Andlauer Healthcare Group Inc. (TSX: AND). The transaction is valued at US$80 million. The Nutter team included Shannon Zollo, Josh Gray, Ellie Myers, Josh French, and Meghan Kelly on corporate matters; Mike Mooney, Erin Whitney, and Chris McLoon on tax matters; Tracy Vitols on employee benefits matters; LeeAnn Baker, Chris Papavasiliou, and Matt Snell on real estate matters; David Rubin on labor and employment matters; Seth Berman on data security matters; and Jeff Roberts on trusts and estates matters.

Boyle Transportation provides specialized transportation services to clients in the life sciences and government/defense sectors. Boyle was recently named the overall “Best Fleet to Drive For” in the U.S. and Canada for the second year in a row. The transaction closing is subject to customary closing conditions, including the receipt of Toronto Stock Exchange approval in connection with the issuance of the AHG subordinate voting shares and regulatory approval from the U.S. Defense Counterintelligence and Security Agency.
