Overview

Mark J. Tarallo is a partner in Nutter’s Corporate and Transactions Department. He represents clients in a broad array of corporate matters, including mergers and acquisitions, venture capital financings, private equity transactions, and securities offerings. Mark works with clients of all sizes ranging from startups to publicly listed international companies.

Mark regularly counsels buyers, sellers, investors, and issuers on business planning, corporate governance, and transaction due diligence. He has extensive experience advising private funds and investment advisers in connection with regulatory and securities matters.

Notable Experience and Client Impact

  • Represented OpenClinica, an industry-leading clinical research solutions provider, in connection with a strategic investment with Thompson Street Capital Partners.
  • Advised Fowler High Precision, Inc., a specialty manufacturer and distributor of dimensional metrology tools, highly engineered systems, and calibration services, in connection with its recapitalization by Pfingsten Partners, LLC. 
  • Represented a pharmaceutical contract manufacturing organization (CMO) in its sale to a private equity-backed buyer.
  • Represented a UK-based private equity-backed educational software firm in the acquisition of a U.S. software company.
  • Represented a private equity firm in multiple portfolio acquisitions in the specialty metal, oilfield services, and aircraft parts industries.
  • Represented a leading software architecture firm in its sale to a Fortune 500 company.
  • Represented a publicly listed UK-based software company in multiple acquisitions in the United States and other jurisdictions.
  • Represented a leading construction materials supplier in its sale to a privately backed buyer.
  • Represented a family-owned watercraft business in its sale to a publicly traded buyer.
  • Represented a public company in its negotiations with SAP and CapGemini for a multinational SAP implementation.
  • Represented a systems developer/implementer in executing an MSA with a major U.S. footwear manufacturer for an SAP implementation, including custom point-of-sale developments.
  • Represented an SAP implementer in executing an MSA with a major European luxury goods provider for an SAP implementation across multiple brands.

Mark has written and presented extensively on a variety of securities and corporate law topics. He is a member of the American Bar Association, Massachusetts Bar Association, and the Boston Bar Association.

Prior to joining Nutter, Mark was a partner in the Boston office of a New England law firm.

    Nutter served as legal counsel to Magellan Jets, LLC, a private aviation solutions provider, in its acquisition of Stellar Labs, Inc.

  • OpenClinica

    Nutter served as legal counsel to OpenClinica, an industry-leading clinical research solutions provider based in Waltham, MA, in connection with a strategic investment with Thompson Street Capital Partners.

  • Turner Brothers, LLC

    Nutter served as legal counsel to Turner Brothers, LLC, a Massachusetts-based concrete building services company, in its acquisition of Woodland Tilt-Up, Inc., a Florida-based specialty Tilt-Up construction contracting firm.
