Ian Roffman Weighs In on Impact of EMC Decision in Massachusetts Lawyers Weekly

Ian Roffman, chair of Nutter’s Litigation Department and a partner in the firm’s Securities Enforcement and Litigation practice group, commented on the Supreme Judicial Court’s ruling in the Dell-EMC merger case in Massachusetts Lawyers Weekly. In the article, “With EMC decision, SJC adds certainty to mergers,” Ian, who submitted an amicus brief on behalf of Associated Industries of Massachusetts, noted that the decision is a reminder that Massachusetts courts will respect how the balance was struck between the respective interests of the corporation, its directors and shareholders, which provides certainty to all involved. According to Ian, the ruling could also help incentivize the acquisition of Massachusetts companies.
