Overview

Stephen J. Patterson is a partner in Nutter's Corporate and Transactions Department and a member of the Commercial and Real Estate Finance practice group. Stephen has over 30 years experience representing major financial institutions and finance companies in complex, multi-party financings, agented credit facilities, and capital formation transactions, with a significant emphasis on equipment lease syndication and origination transactions, tax credit and mortgage warehouse facilities, investor subscription financings and asset based lending.

He also assists various financial institutions, including investment advisers and hedge funds, in negotiating and documenting ISDA agreements, securities lending arrangements and other derivative transactions and regularly advises Nutter’s bank clients in connection with portfolio-level transactions, such as mortgage and vehicle loan sales to other financial institutions and back-to-back swap transactions with money-center bank counterparties.

Steve is also an active member of Nutter’s Banking and Financial Services practice group and, in that capacity, has represented regional and community-based financial institutions in connection with the Paycheck Protection Program, the Main Street Lending Program and LIBOR transition and replacement initiatives.

Steve’s representative transactions include:

  • Representation of purchasers in over 2000 equipment lease syndication transactions covering all asset classes. 
  • Representation of national financial institutions in connection with warehouse facilities extended to the largest LIHTC syndicators in the United States 

  • Representation of national financial institutions in connection with warehouse facilities to Fannie Mae DUS lenders and Freddie Mac and Ginnie Mae approved multifamily residential mortgage originators 
  • Representation of national and regional financial institutions in connection with investor subscription financings involving investments in tax credit funds, private equity vehicles and real estate development structures 
  • Representation of various national and regional financial institutions in asset-based loan facilities extended to manufacturers, distributors and retailers in a wide range of industries 
  • Representation of equipment leasing and asset finance companies in connection with origination of lease and loan transactions 
  • Representation of national and regional lenders in connection with workouts and restructurings of a wide variety of commercial finance transactions

    Nutter represented MassMutual Asset Finance in the equipment finance syndications market from its inception in billions of dollars of acquisition.

  • Represented one of the largest banks in the United States

    Nutter represented one of the largest banks in the United States in warehouse facilities to a dozen of the largest Fannie Mae, Freddie Mac, and FHA licensed mortgage lenders and low-income housing tax credit syndicators, with total commitments in excess of $2 billion.

  • Eastern Bankshares, Inc.

    Nutter served as legal counsel to Eastern Bankshares, Inc. (Nasdaq Global Select Market: EBC), the stock holding company for Eastern Bank, in connection with its acquisition of Century Bancorp, Inc. (Nasdaq: CNBKA), the stock holding company for Century Bank and Trust Company, in a transaction valued at approximately $642 million.
