Thomas V. The article discusses the recent popularity of crowdfunding as a financing option for startup companies and highlights the major crowdfunding provisions of the Jumpstart Our Business Startups (“JOBS”) Act relating to broker-dealer and funding portal intermediation of SEC-regulated crowdfunding transactions. In addition, the article suggests ways the SEC can implement crowdfunding rules that will promote crowdfunding intermediary formation and thereby enhance startup company financing opportunities.
