Alex Glovsky is the Chair of the Firm’s Emerging Companies Group and a member of the firm's Executive Committee. His practice is focused on mergers and acquisitions, capital finance and complex corporate governance issues.
Mergers and Acquisitions Experience
Alex has broad experience handling mergers and acquisitions for both strategic and financial buyers as well as public and private companies selling their businesses. He has served as lead counsel advising clients through auction processes, aggressive roll-up strategies, and complex deal negotiations, specializing in middle-market transactions ranging in size from $25 million to $500 million. Representative transactions include:
- Acquisition by publicly-traded client of privately-held software company for $350 million in common stock
- Acquisition of service delivery management software company by publicly-traded buyer for $35 million in cash plus an earn-out
- Stock and asset sale of manufacturing division of private equity-backed client for $75 million to publicly-traded foreign buyer involving stock and assets over four continents and seven countries
- Acquisition of specialty publication company by strategic buyer for aggregate purchase price of $67 million, including $32.0 million in cash with $35 million earn-out
Early Stage Capital Finance
Alex has also guided clients at each stage of private finance, from initial angel round investments through late stage venture-backed financings. As Chair of Nutter’s Emerging Companies Group, Alex assists early-stage clients in formulating the strategy to realize their business goals and in building the foundation necessary to secure third party investment. Alex has counseled clients in angel financings representing an aggregate of over $40 million in investment in early stage companies.
Public Company Experience
Alex founded Nutter’s Securities Roundtable and has represented a number of companies in their IPO and subsequent follow-on public offerings. Aside from capital raising, he has assisted publicly-held clients with the complexities of state and federal securities laws in a rapidly changing regulatory environment. Alex has worked with a number of small and microcap companies, counseling each through the complex issues facing the smaller public issuer. Alex also has specific experience representing audit and other special committees of independent directors in both interested party transactions and internal corporate investigations.
Alex is a member of the firm’s Sarbanes-Oxley Attorney Compliance Committee and past co-chair of the Boston Bar Association's Securities Law Committee. He also has been a lecturer at Massachusetts Continuing Legal Education seminars.
Data Privacy and Security
A founding member of the firm’s Data Privacy and Security group, Alex has represented companies in formulating their data security plans. He has also counseled clients in responding to all phases of data security breaches and helped coordinate client response and remediation efforts.
